(“Privacy Policy”). By accessing, viewing or using the Web Site, you agree to be bound by these Terms of Use and the Privacy

ConnectShip reserves the right, in its sole discretion, to change or update these Terms of Use. Your continued use of the Web

This is a general audience Web Site and users of all ages are welcome to browse the Web Site. However, if you are under the age

The act of providing any Submission constitutes an assignment to ConnectShip of all worldwide right, title and interest, including

warrant that you own or otherwise control all of the rights to that Submission, including, without limitation, all the rights and
authorization necessary for you to provide that Submission and for ConnectShip to use, copy, reproduce, modify, create derivative
works from, transfer, distribute, perform, publish, license or sell that Submission.
When you provide Submissions to the Web Site, you agree to: (i) provide accurate and truthful information and (ii) update that
information from time to time as necessary to keep that information current and accurate.

License to Access ConnectShip Web Site.
ConnectShip grants to you a limited, non-exclusive, non-transferable license to use the Web Site, other than that portion that is
the Members’ Web Site (defined below), in strict accordance with these Terms of Use and the terms provided in the
Legal Notices
(“Web Site License”). ConnectShip grants you a limited right to access and use of the Web Site, other than that portion that is the
Members’ Web Site, and its content in accordance with these Terms of Use and the terms of the
Legal Notices
for internal informational business purposes. Access to and use of the “members” portion of the Web Site (“Members’ Web Site”) is
provided to you through a combination of a unique user name and password (an “ID”). Once you are provided with your ID, you will be
permitted to access the Members’ Web Site. Subject to the terms of these Terms of Use, and any other terms of use that ConnectShip
may have you agree to prior to providing you with your ID, ConnectShip grants you a limited, world-wide, personal, nonexclusive,
nontransferable, revocable license to access, view and use the Members’ Web Site solely for the purpose of (i) evaluating ConnectShip’s
products and services; (ii) submitting, monitoring and maintaining your technical support cases; and (iii) reviewing documentation
related to the ConnectShip products you licensed (“Members’ Web Site License”). As a condition of use of the Web Site, you warrant to
ConnectShip that you will not use the Web Site for any purpose that is unlawful or prohibited by the Web Site License or Members’ Web
Site License. Unauthorized access to the Web Site, or to the telecommunications or computer facilities used to deliver the Web Site,
is a breach of the Web Site License and is a violation of law. Except for the limited Web Site License and Members’ Web Site License,
ConnectShip does not convey to you any right or interest in the Web Site, its content or any information available on or through the
Web Site.
Username and Password.
You are responsible for maintaining the confidentiality of your own ID, and responsible for any and all activities that occur with
the use of your ID. You agree to immediately notify ConnectShip of any unauthorized use of the Members’ Web Site or an ID or any
other breach of security known to you. You shall take all reasonable steps to ensure that no unauthorized person shall access the
Members’ Web Site by using your ID. You are responsible for: (1) controlling the dissemination and use of your ID; (2) authorizing,
monitoring, and controlling access to and use of the Members’ Web Site by your ID; (3) promptly informing ConnectShip of any need
to deactivate your ID or of any unauthorized use of your ID.
Automatic Collection of Anonymous Information.
You acknowledge and agree that ConnectShip may use cookies, web beacons, analytics tools and related technologies to automatically
collect anonymous information regarding use of the Web Site consistent with our
Privacy Policy.
ConnectShip may use such anonymous information gathered from cookies, web beacons and related technologies for the purpose of,
without limitation: (i) customizing account pages, (ii) tracking the frequency and duration of visits and use of account features,
(iii) determining what features and pages are most frequently requested or visited, and (iv) recognizing users when they return to
the Web Site. Third parties providing analytics tools may retain and use, subject to the terms of the third party’s privacy policy,
certain anonymous traffic data collected in connection with use of those analytics tools. You acknowledge and agree that ConnectShip
may aggregate and use certain automatically collected anonymous information for research and marketing purposes and may share or
publish that aggregate information, and statistical data derived from such information, with our marketing partners or other third

Suspension of Access.
You acknowledge and agree that ConnectShip may, in its sole discretion and at any time, suspend access to the Web Site upon your
failure to comply with the terms of the Web Site License or these Terms of Use or upon the expiration of any trial or evaluation
period that has been granted to you. In order to protect the integrity of the Web Site, ConnectShip reserves the right at any
time, in its sole discretion to block you from accessing the Web Site.
Restrictions on Use.
The rights provided by ConnectShip to access and use the Web Site do not include any right to copy, sell or use the Web Site or
its content for commercial use or to prepare any derivative works of the Web Site or its content, without the prior express
written permission of ConnectShip. The Web Site, or any portion of it, may not be reverse-engineered, modified, reproduced,
duplicated, copied, sold or otherwise exploited for any purpose, without the prior express written permission of ConnectShip.
You are further prohibited from using the Web Site or any of its content: (i) to advertise or sell any products or services;
(ii) for any purpose that is unlawful or prohibited by these Terms of Use; (iii) in any manner which could damage or disparage
ConnectShip; (iv) in any manner that could disable, overburden, or impair the Web Site or interfere with any other party’s use
and enjoyment of the Web Site; or (v) to obtain or attempt to obtain any materials or information through any means not
intentionally made available through the Web Site. Tampering with the Web Site, misrepresenting your identity as a user or
conducting any fraudulent activities on the Web Site are strictly prohibited.
Prohibited Submissions.
You are prohibited from posting or transmitting any infringing, unlawful, threatening, defamatory, libelous, obscene or profane
material or any material that could constitute or encourage conduct that would be considered a criminal offense or give rise to
civil liability, or otherwise violate any law. You are also prohibited from submitting any information that is in violation of
any confidentiality agreement you may have with any third party. In addition to any remedies that ConnectShip may have at law
or in equity, if ConnectShip reasonably determines that you have violated or are likely to violate the foregoing prohibitions,
ConnectShip may take any action it reasonably deems necessary. ConnectShip will fully cooperate with any law enforcement
authorities or court order or subpoena requesting or directing ConnectShip to disclose the identity of anyone using the Web
Site in an unauthorized manner or submitting or posting prohibited materials.
Monitoring.
ConnectShip shall have the right, but no obligation, to monitor content of the Web Site provided by third parties to determine
compliance with the Terms of Use, any other operating rules established by ConnectShip for this Web Site or compliance with any
law, regulation, or authorized government request.

The Web Site may contain information regarding products and services offered by and hypertext links to sites owned or operated

Indemnification.

from and against any and all claims, damages and costs, including reasonable attorneys’ fees and related expenses, arising
from or related to any unauthorized use by you of the Web Site or any of its content, your provision of any Submission,
any breach by you of these Terms of Use and any claim that you have violated a user’s privacy rights by collecting or using
information about users of the Web Site.
Export Control.
Software and other materials from the Web Site may be subject to United States Export Administration laws and regulations.
The United States Export Administration laws prohibit the export of certain technical data and software to certain territories.
No software or content from the Web Site may be downloaded or exported (a) into any other country to which the United
States has embargoed goods; or (b) anyone on the United States Treasury Department’s list of Specially Designated Nationals
or the U.S. Commerce Department’s Table of Deny Orders. ConnectShip does not authorize the downloading or exportation of
any content, software or technical data from the Web Site to any jurisdiction prohibited by the United States Export
Administration laws or regulations.
Electronic Communications.
When you visit the Web Site, submit your contact information to ConnectShip, or submit technical support cases to ConnectShip
through the Members’ Web Site, you are communicating with us electronically. You consent to receive communications from us
electronically. We may communicate with you by e-mail or by posting notices on the Web Site. You agree that all agreements,
notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such
communications be in writing.
Termination /Access Restriction.
ConnectShip reserves the right, in its sole discretion, to terminate or refuse access to any or all of the Web Site and the
related services at any time, without notice and for any reason.
Governing Law and Disputes.
ConnectShip controls and operates this Web Site from the state of Oklahoma. These Terms of Use and your use of the Web Site
are governed by the laws of the state of Oklahoma, without regard to conflicts of law principles. By accessing, viewing or
using this Web Site or any of its content, you consent to the sole and exclusive jurisdiction of the federal and state courts
of the State of Oklahoma for any dispute arising in connection with this Web Site or its content.
General.
If any part of these Terms of Use is determined to be invalid or unenforceable pursuant to applicable law, then the remainder
shall continue in effect. You agree that no joint venture, partnership, employment, or agency relationship exists between you
and ConnectShip as a result of these Terms of Use or your access, viewing or use of the Web Site. Unless otherwise specified
herein, these Terms of Use constitute the entire agreement between you and ConnectShip with respect to the Web Site.

to us to participate in the features we offer, including through the Web Site. On such occasions,
